1. Pet Fair Information

7. Cancellation Policy: In the event an Exhibitor wishes to cancel
prior to September 2, 2005 a refund of 50% of paid fees will be
made upon receipt of written cancellation.
No refund of fees for exhibit space will
be made after September 2, 2005.

2.
Qualifications to Exhibit
The
Pasadena Humane Society reserves the right to remove, decline, or
prohibit any exhibit or part of an exhibit, or proposed exhibit
which, in its opinion, is not suitable to or in keeping with the
character of the pet fair.

8. Postponement or Cancellation by the Pasadena
Humane Society
The
Pasadena Humane Society reserves the right to postpone or cancel
the exhibition at its discretion.
In the event of such a cancellation, all monies will be refunded
to sponsors or exhibitors. The
option to participate in future pet fairs shall be at the discretion
of the Pasadena Humane Society.

3. Location of Exhibit
The
Exhibitor agrees to confine his/her presentation within the contracted
space only and to maintain a staff member in his/her booth space
during fair hours. The Pasadena
Humane Society reserves the right, at all times, to relocate an
exhibitor as it shall deem necessary for the proper conduct of the
pet fair.
4. Exhibit Installation and Removal
The
Exhibitor agrees that no display may be dismantled or goods removed
during the entire run of the pet fair, but must remain intact until
after the closing time of the fair.
The Exhibitor also agrees to remove the exhibit and equipment
from the show area by the final move-out time as set forth in paragraph
1 above.
5. Sublicense of Space
Space
contracted by Exhibitor may not be sublet without prior written
permission from the Pasadena Humane Society.

9. Insurance and Indemnification
The
Exhibitor agrees to add the Pasadena Humane Society and the City
of Pasadena as additional insureds to any existing general liability
insurance policy with a minimum liability of $1 Million for the
day of the event and to provide proof of said insurance, upon request
by the Pasadena Humane Society, prior to September 2, 2005.
The Pasadena Humane Society reserves the right to require
any vendor to obtain general liability insurance, and add the Pasadena
Humane Society and City of Pasadena as additional insureds, pursuant
to the terms set forth above, for the day of the event as a condition
of approving the vendor application.
Exhibitor
shall indemnify, defend and hold harmless the Pasadena Humane Society
and the City of Pasadena, and their respective directors, officers,
agents, employees and volunteers, from and against any claims, demands,
causes of action or damages (including attorneys’ fees) arising
out of the use by Exhibitor and occupancy of the Premises, any taxes,
fees, fines, penalties assessed by any government or non-government
entity against either Exhibitor or the Pasadena Humane Society based
on Exhibitor’s Agreed Use (or unauthorized use) of the Premises,
any breach of the Rules and Regulations, any negligence or willful
misconduct by Exhibitor, or any alleged defects or inherent dangers
in connection with the Exhibit.

6. Cancellation of Contract
The
Pasadena Humane Society reserves the right to terminate this contract
and to withhold from the Exhibitor possession of the exhibit space
if: (a) the Exhibitor fails to pay all space rental charges or (b)
the Exhibitor fails to perform any terms and conditions of this
contract, or (c) the Exhibitor fails to comply with all licensing
requirements for the City of Pasadena.

10. Damages
The
Pasadena Humane Society shall not be liable for any damages, whether
direct, indirect, general, special, consequential, punitive, or
otherwise to Exhibitor, its product or exhibit, its agents and employees
or visitors to its exhibit whether occasioned by the Pasadena Humane
Society, its agents or employees, or by another Exhibitor, and its
agents and employees.
